KOSDAQ-listed company IEM has decided to implement a paid-in capital increase through a third-party allocation of approximately 15 billion KRW. As the largest shareholder Cereon fully subscribes, the market is closely watching for its future control reinforcement and the use of funds.

On January 7, IEM announced through the Financial Supervisory Service electronic disclosure system that it will carry out a paid-in capital increase to raise operating funds. A total of 2,293,580 new shares will be issued at a price of 654 KRW per share. The total issuance amount is approximately 15 billion KRW.

This paid-in capital increase is not aimed at common shareholders but will be conducted via a third-party allocation, with all shares subscribed by the current largest shareholder, Cereon Corporation. A third-party allocation of paid-in capital is a method of raising funds by allocating new shares to specific investors, often used for defense of control or establishing strategic partnerships with particular investors.

Although IEM clearly states in the announcement that the purpose of this fundraising is “to secure operating funds,” it has not publicly disclosed specific plans for the actual use of the funds. Typically, operating funds include expenses such as debt repayment, product development costs, and personnel expenses for daily operations.

The market interprets this full subscription by the largest shareholder as a signal of control reinforcement. In fact, Cereon’s additional investment will increase its shareholding ratio, which could impact future operational stability.

This move also aligns with the recent trend among small and medium-sized listed companies to achieve financial stability through internal funds rather than attracting external investment. Whether IEM will shift its business strategy while improving its financial structure is expected to continue attracting investor attention.
