Taiwanese memory manufacturer Nanya Technology (2408) announced on the 25th a three-stage private placement plan, officially introducing major strategic investors from the global memory and semiconductor supply chain, including Kioxia, SanDisk, and Solidigm, which is wholly owned by SK Hynix, as well as Cisco, with a total amount reaching 78.7 billion TWD.

The private placement is divided into three tranches, with approximately 351 million new shares issued at a price of NT$223.9 per share, representing about 85% of the reference price of NT$263.3. Among the subscribers, SanDisk, through its subsidiary, subscribed for about 139 million shares; Kioxia subscribed for 70 million shares; while Solidigm and Cisco each subscribed for approximately 71.4 million and 71.5 million shares, respectively. From an industry perspective, Kioxia and SanDisk have been long-term partners, and this time they also jointly invested in the DRAM manufacturer Nanya Technology.

On the other hand, this foreign investment will also create structural interactions with the existing cross-shareholding system of the Formosa Plastics Group. Currently, Nanya Technology is still primarily held by Nanya, with about 29%, making it the largest shareholder, and is jointly owned by related companies such as Taiwan Chemical Fiber and Formosa Plastics, forming a stable control structure. Meanwhile, there has been a long-standing cross-shareholding relationship among Formosa Plastics, Nanya, Taiwan Fertilizer, and Formosa Petrochemical, forming a rare large corporate “ownership network” in Taiwan.
This cross-shareholding mechanism allows Nanya Technology to maintain group dominance when introducing external capital, without dilution of control, while also balancing strategic cooperation and governance stability.
